Tecmo answers Square Enix questions regarding rejected merger proposal |
Ó
After having its friendly proposal spurned, Square Enix forwarded three questions regarding Tecmo's rejection, most of these tied to the company's decision to tie up with Dynasty Warriors' Koei:
- Please confirm that the decision on the start of discussions with KOEI toward integration of management is the reason for rejection of the Proposal.
- If that is the case, please clarify concretely that major terms of integration of management with KOEI (form of the integration, stock prices assumption, integration ratio and so forth) are favorable for TECMO's shareholders than the Proposal.
- If not, please clarify that TECMO has an alternative plan, which is favorable for TECMO's shareholders than the Proposal.
- The reason why the Tecmo board members did not accept this offer is because of the decision to begin merger talks with Koei.
- Supposing this is the case, then the plan to merge with Koei (form of the integration, stock prices assumption, integration ratio and so forth) is concretely beneficial to Tecmo shareholders.
- Supposing this isn't the case, then we would disclose alternatives that would be advantageous to shareholders.
To answer Square Enix's proposal within the time frame of one week provided little room for negotiation and discussion. Conversely, regarding the proposal from Koei, there is time for management to consider how to integrate and most likely arrive at ultimately raising our corporate value. This is why we have begun talks with Koei concerning corporate integration.

1ST!!!!
You made a post for that?
I applaud you, you did a good job!!
We are so proud of you!!
You see, one must assume you are "special" based on the previous post.
so um...
Yeah, Good job!!!!
Yeah, I can see where tecmo is coming from with this.
square has a habit of merging with companies then over shadowing them with their own mighty name.
square would seem like a beast that eats smaller businesses.
' from a purely business point of view'
What would happen to tecmo if they did merge with square.,
"They would change their name to square enix Tec. And then release a tecmo secret of the stars game on consoles and then slowly kill everything great about those acquired franchises by condemning them to obscurity with endless ds and wii ware ports...'"
ultimately all the beast wants is to eat the competition...
While reading the article, I gained the assumption that Square just didn't give Tecmo enough time to consider their offer. They're already having problems, they don't need to be making any hasty decisions. Its apparent that KOEI has given them a ton more breathing room to consider their decision.
If you look at it this way, its as though KOEI is a suave, sweet-talking, nice guy, who's taking TECMO out on dates and giving TECMO some space at the same time. Meanwhile, Square shows up and wants it all on the first date, leaving TECMO a little pressured and hence the retreat.
Makes sense to me! hahahahah
but what has tecmo given us lately taht is of any great value. ok, love ninja gaiden - mainly due to a lack of decent NINJA games out (love my TENCHU) and because I own the original on Master System, it was fun.
DOA series is fine, but basically a ***** version of Tekken with big titties. I don't see why Square would even bother, but to add NG to it's linup, and to intergrate the characters from the rest into FF :p. seriously though, where is the benefit for Square. They should look at the up and coming studios such as Insomniac, so as to expand their repitoir, as oppossed to an old Crack Whore like TECMO.
In saying that, I think TECMO has nothing to gain Either.
Square would just suck out it resources and leave it an empty shell. They would lose most if not all creative rights, so no more booby driven titles, cause square is a little more p.c. (if only a little)
BTW : Love the boobies in DOA:XBV. Cheers Tecmo, keep it up
